If I have a unit of assault marines with two close combat weapons, and I pay the extra points to give the seargeant a power fist, does he lose the extra attack for close combat weapons? also if he doesnt lose the attack, is only one of his attacks a power fist attack,? does that make sense?

The Sergeant doesn't loses his bonus attack from having two close combat weapons for having the power fist, as the power fist counts as a close combat weapon, and all of his attacks count as being from the power fist.
There are certain weapon combinations that mean that the character doesn't gain an extra attack from having two close combat weapons. This is essentially only applies to models that are armed with more than one "special" type of close combat weapon. I.e. Power Fist and Power Weapon, or Power Fist and Lightning Claw, etc. That's there to restrict character models from being loaded up with multiple types of weapons in order to allow them to work effectively against lots of different targets.

Actually, I'm afraid you're wrong Stephen. The Veteran Sergeant WILL lose the bonus attack for using two close combat weapons if only one of them is a Power Fist.
40k Rulebook, page 42, "Fighting with Two Single-Handed Weapons", "A Normal and a Special Weapon"
So your Veteran Sergeant will have 2 Power Fist attacks, or 3 in the turn he charges. Conversely, if armed with a Power Weapon, he'd have 3 Power Weapon attacks, with 4 in the turn he charges.
